Terms & Conditions
1. Acceptance of Terms
By accessing this website or engaging Gist Advisory Group ("Gist Advisory," "we," "us," or "our") for coaching, facilitation, or advisory services, you ("Client," "you") agree to be bound by these Terms & Conditions. If you do not agree, please do not use this site or engage our services.
2. Description of Services
Gist Advisory Group provides executive coaching, leadership development, team facilitation, and NBI (Neethling Brain Instruments) assessment and debrief services. Services may be delivered one on one, in small groups, or through workshops, and may take place virtually or in person.
Coaching is a collaborative, client-centered process designed to support professional growth, clarity, and performance. Coaching is not therapy, counseling, medical treatment, financial advice, or legal advice, and it is not a substitute for these services. 3. Coach Qualifications
Amy Bagolini holds a CCPEC (Certified Coach Practitioner Executive Coaching) credential from Columbia University's 3CP program and is a licensed NBI facilitator. Coaching engagements are conducted in accordance with the ethical guidelines of these credentialing bodies.
4. Code of Conduct
We ask that both parties engage in coaching and advisory relationships in good faith:

Sessions should begin and end on time, and both parties should come prepared.

Communication should be honest, respectful, and confidential.

Clients are responsible for the decisions and actions they take as a result of coaching. Gist Advisory does not guarantee specific outcomes, promotions, or results.

Gist Advisory reserves the right to decline or discontinue an engagement if the coaching relationship is not productive, safe, or aligned with our scope of practice, in which case any unused prepaid fees will be refunded on a pro rata basis.
5. Confidentiality
All information shared during coaching sessions is treated as confidential and will not be disclosed to third parties, including employers or sponsors, without the Client's written consent, except:

Where disclosure is required by law.

Where there is a risk of harm to the Client or others.

Where the engagement is sponsored by an organization and a separate written agreement specifies reporting terms between Gist Advisory, the Client, and the sponsoring organization.
6. Fees, Payment, and Cancellation

Fees for coaching packages, single sessions, or facilitation engagements will be agreed upon in writing (email or signed agreement) prior to the start of services.

Payment is due according to the schedule specified in your engagement letter or invoice, generally in advance of services rendered.

Sessions cancelled or rescheduled with less than 24 hours' notice may be billed at the full session rate, at Gist Advisory's discretion.

Late cancellations due to documented emergencies will be handled on a case by case basis.
7. Refund Policy

Individual sessions are non-refundable once completed.

Prepaid coaching packages may be cancelled prior to the start of the engagement for a full refund, less any processing fees.

Once a package has begun, unused sessions may be refunded on a pro rata basis at Gist Advisory's discretion, minus any sessions already completed.

Refund requests should be submitted in writing to the contact address below.
8. Client Responsibilities
Clients are responsible for:

Providing accurate information relevant to the coaching engagement.

Attending scheduled sessions or providing timely notice of cancellation.

Taking ownership of decisions, actions, and outcomes arising from the coaching relationship.
9. Intellectual Property
All materials provided by Gist Advisory, including but not limited to worksheets, frameworks, assessments, and website content, are the intellectual property of Gist Advisory Group and may not be reproduced, distributed, or used for commercial purposes without written permission.
10. Privacy and Data Protection
Gist Advisory collects and stores personal information (such as name, contact details, and session notes) solely for the purpose of delivering coaching and advisory services. We do not sell or rent client information to third parties.

Information is stored securely and retained only as long as necessary for the engagement or as required by law.

Clients may request access to, correction of, or deletion of their personal data by contacting us directly.

Our website may use cookies or analytics tools to improve user experience; you may disable cookies through your browser settings.

11. Limitation of Liability
To the fullest extent permitted by law, Gist Advisory Group and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from the use of this website or participation in coaching services. Our total liability for any claim arising from services rendered shall not exceed the fees paid by the Client for the specific engagement in question.
12. Termination
Either party may terminate a coaching engagement at any time with written notice. Fees for services already rendered remain due. Refunds for prepaid, unused sessions will be handled per Section 7.
13. Governing Law
These Terms & Conditions are governed by the laws of the State of New York, without regard to conflict of law principles, unless otherwise specified in a separate signed engagement agreement.
14. Changes to These Terms
Gist Advisory Group may update these Terms & Conditions from time to time. The most current version will always be posted on this page, with the effective date noted above.
